Terms of Service

Welcome to Merin! These Terms of Service ("Terms") govern your access to and use of the Merin website, beta program, email client software, and related services (collectively, the "Service"). Please read these Terms carefully before using our Service.

Beta Disclaimer: Merin is currently in an early beta stage. It may contain bugs, experience outages, or lose data. Do not use Merin for mission-critical or irreplaceable communications during the beta. Your feedback is appreciated as we improve the product!

Merin is a smart email client designed for effortless inbox management with AI-powered assistance, connecting your integrations, and enabling keyboard-first productivity.

By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Service or use any services.

1. Acceptance of Terms

  • You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.
  • If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
  • Beta Service: You understand and agree that Merin is currently in its beta testing phase (“Beta Service”). The Beta Service is provided “as is” and “as available” and may contain bugs, errors, outages, or other issues—including possible data loss or interruption of email service. Do not use Merin for any mission-critical, emergency, or irreplaceable communications during this phase. Your use of the Beta Service is at your sole risk. Merin is not obligated to provide any maintenance, technical or other support for the Beta Service.

2. Changes to Terms

  • We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
  • By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

3. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by this reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

Merin is built with privacy and security in mind. We only collect what we need to provide you with the best experience. We do not use your email content or personal data to train our AI models.

4. Account Registration and Security

  • To access and use Merin, you will be required to register for an account, which may initially be part of our "Early Access" program. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. Merin cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
  • You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

5. User Conduct

    You agree not to use the Service to:

    • Post, upload, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
    • Harm minors in any way.
    • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
    • Upload, post, email, transmit, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships.
    • Upload, post, email, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
    • Upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
    • Upload, post, email, transmit, or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
    • Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
    • Intentionally or unintentionally violate any applicable local, state, national, or international law.
    • Attempt to reverse engineer, decompile, or disassemble any part of the Merin software.

6. Intellectual Property

  • Our Content: All content on the Service, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software (including the Merin email client, Cortex AI assistant, Spaces, Smart Labels, and keyboard-first features), is the property of Merin or its content suppliers and protected by international copyright laws.
  • Your Email Data: Merin processes your email data to provide the Service, including features like Cortex, Spaces, and Smart Labels. You retain all ownership rights to the content of your emails and associated data. Merin will only access and process your email data as necessary to provide the Service and as explicitly permitted by our Privacy Policy.

7. Third-Party Links and Services

  • The Service may contain links to third-party websites or services (e.g., integrations with other tools) that are not owned or controlled by Merin.
  • Merin has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Merin shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.
  • When connecting your tools to Merin via Cortex, you agree to comply with the terms and conditions of those third-party services.

8. Disclaimer of Warranties

THE SERVICE, INCLUDING THE BETA SERVICE, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MERIN MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY, OR OTHER VIOLATION OF RIGHTS.

FURTHER, MERIN DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY, LIKELY RESULTS, OR RELIABILITY OF THE USE OF THE SERVICE OR OTHERWISE RELATING TO SUCH MATERIALS OR ON ANY SITES LINKED TO THIS SITE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

IN NO EVENT SHALL MERIN OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA OR PROFIT, OR DUE TO BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE, EVEN IF MERIN OR A MERIN AUTHORIZED REPRESENTATIVE HAS BEEN NOTIFIED ORALLY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, OR LIMITATIONS OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THESE LIMITATIONS MAY NOT APPLY TO YOU.

During the beta period, Merin specifically disclaims responsibility for any data loss, delayed or undelivered emails, or other interruptions or malfunctions of the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless Merin, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Service using your account.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service and/or follow the instructions provided within the Merin application to delete your account.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.

15. Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you agree that we are free to use such Feedback for any purpose without any compensation to you.
